Written in plain English on purpose. Part A applies to everything we sell; each Schedule adds the rules for one product family.
"Orion Digital", "we", "us" is ORION DIGITAL MEDIA LTD, registered in England & Wales, Company No. 17362833, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ. Contact: info@oriondigital.uk. "You" is the person or business named on the order.
Website plans (Schedule 1), video content services including creator promotion and clipping (Schedule 2), downloadable digital products (Schedule 3), social media management (Schedule 4), and growth reviews, consultancy and advertising management (Schedule 5). Each order tells you which Schedule applies alongside this Part A.
Most of our customers buy for their business. If you buy as a business you confirm you are acting in the course of business, and the business-customer clauses apply. If you buy as a consumer, nothing in these terms takes away rights the law gives you that cannot be excluded — where any clause conflicts with those rights, your statutory rights win.
You place an order (by email reply, order form or checkout); we confirm it or start work; that confirmation or start of work is when the contract forms. Obvious pricing mistakes can be corrected before work starts.
Prices are in pounds sterling, stated on the order or published plan. Payment is by card (processed by Stripe), Direct Debit, or invoice where agreed. Direct Debit payments are protected by the Direct Debit Guarantee. Invoices for business customers are due within 14 days unless the invoice says otherwise; we may charge statutory interest and compensation on late business payments under the Late Payment of Commercial Debts (Interest) Act 1998.
If you are a consumer buying at a distance you normally have 14 days to change your mind. Two standard exceptions: (a) if you ask us to start a service inside the 14 days you pay for what has been done when you cancel; (b) for instant digital downloads, you agree at checkout that delivery starts immediately and that you lose the right to cancel once the download begins. Details per product are in the Schedules.
Material you give us (text, prices, claims, photos, videos, logos, access to accounts) must be accurate, yours to use, and lawful. You keep ownership of your material; you give us a licence to use it to deliver the service. You are responsible for claims about your own business — we will flag anything that looks wrong, but you know your trade.
We refuse work involving: misleading or unsubstantiated claims, fake reviews or reviews with undisclosed incentives, fake engagement, false urgency or scarcity, prices that hide mandatory fees, earnings promises, gambling or high-risk financial promotions, adult content, or anything unlawful, defamatory or hateful. These practices are banned under UK consumer law, and refusing them protects you as much as us.
Once a deliverable is paid for in full, you may use it freely for your business — publish it, print it, run it as advertising, keep it forever. Our production systems, templates, code and know-how remain ours. Where third-party materials are included (stock imagery, fonts, licensed assets) they come under their own licences, which permit your business use as delivered; they cannot be resold on their own. Some of our work is produced with AI systems under professional direction. UK law on AI-made material is still settling, so we promise what can honestly be promised: on payment we assign to you every right that exists in your deliverables; AI-generated elements may not be unique (similar output can exist for other users of the same tools), and where no copyright subsists in a wholly AI-made element, we cannot stop others copying that element. Any individual moral rights in our deliverables are waived so you may edit and re-brand freely. If any asset in a deliverable ever concerns you, tell us and we replace it free of charge.
YouTube, TikTok, Meta, Google, Etsy, Whop and similar platforms set their own rules and change them without notice. We work to their published rules, but we do not control rankings, reach, suspensions or algorithm changes, and no service of ours guarantees views, engagement, leads or revenue. We use only each platform's official tools — never bots, scrapers or engagement manipulation. Where a platform requires AI-made or altered content to be labelled, we apply that label; it cannot be waived.
Where we host or run something that handles your customers' personal data (a website enquiry form, a social inbox), we act on your written instructions as your processor: we use the data only to deliver the service, keep it confidential and secured, tell you without undue delay of any personal-data breach we become aware of, help you with individuals' rights requests, use trusted sub-processors (hosting and production services — list available on request, and we tell you before changes), and return or delete the data when the service ends. We also help you meet your own security and data-protection obligations and, on reasonable notice, show you what you need to confirm our compliance. For our own records and marketing we are the controller; ask anytime to see or delete what we hold: info@oriondigital.uk.
"Unlimited" means normal good-faith use by one business. If usage is far outside the ordinary we will talk to you before we act.
We provide services with reasonable skill and care. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law says cannot be limited. Otherwise: we are not liable for indirect losses or lost profits, and our total liability under a contract is capped at the amount you paid us under it in the 12 months before the claim. For consumers, this cap does not reduce your statutory rights.
If a payment fails we tell you and retry. Unpaid after 14 days: we may pause the service (for example, take a hosted site offline). Unpaid after 30 days: we may end the contract. Either side may end immediately if the other seriously breaks these terms and does not fix it within 14 days of being told. On ending, the clauses that by nature continue (licences granted, liability, payment owed) survive.
Complaints: email info@oriondigital.uk — we aim to reply within 5 working days. Changes to these terms: 30 days' notice by email; if a change genuinely disadvantages you, you may end the affected service without penalty from the date it takes effect (subject to any initial term already agreed). These terms are governed by the law of England and Wales and its courts have jurisdiction; consumers keep any protections of their home law within the UK.
Basic £500/year, Grow £1,000/year, Pro £1,500/year — payable yearly in advance or spread as 12 monthly Direct Debit payments (£42/£84/£125). Inclusions are as published on the plan poster/page at your order date.
The plan starts when your site goes live on your own web address. The first year is a 12-month agreement — it is how we build a complete website up front with no build fee. From year two the plan continues month to month and you may cancel anytime with 30 days' notice. We email you before each renewal, so it is never a surprise. Stay continuously subscribed and your price is locked at your joining rate.
Business customers: the yearly price is your agreed payment for the year, so on early cancellation the remaining balance of the first year becomes payable — an agreed debt, not a penalty. Consumers: your legal rights come first — you may cancel within 14 days of ordering (if you asked us to start work sooner, you pay a fair share for the work already done), and after that an early exit is charged only as UK law allows: the value of what has been provided and costs we reasonably cannot recover — never an automatic full-year balance.
We register your domain in your business's name and renew it while you subscribe. Once your first year is paid, if you leave we transfer it to you on request, free, within 14 days.
We host, secure and maintain the site. We aim to keep it online at all times; if something breaks, fixing it is our first priority. Changes: Basic one per month; Grow and Pro unlimited reasonable changes (Pro same working day). The website design and code remain ours; your content remains yours; on leaving we take the site down tidily. Every site we build ships with a privacy notice and, where required, a cookie-consent banner as standard; you confirm the notice reflects your business accurately.
Covers made-for-you video work: promotional and UGC-style adverts, podcast/long-video clipping, and channel content packages.
You send a brief (we give you a simple form of words to fill in). We aim to deliver within a few working days of a complete brief, unless the order says otherwise. Each video includes one round of reasonable revisions; further rounds may be quoted.
For clipping and any work using your footage, you confirm you own it or have the right to let us use it, including any music, guests' contributions and third-party material inside it. You indemnify us against claims that your source material infringed someone's rights. We do not clip or repurpose footage, music or images belonging to anyone other than you unless you show us in writing that a licence is in place.
On payment, the finished videos are yours to publish and advertise with, anywhere, with no watermark. Clause A9 (production systems, third-party assets, AI-produced elements) and A10 (no promised results) apply in full. Where content is advertising, you are the advertiser: legal responsibility for the claims in it sits with your business, and paid or incentivised placements must be labelled as advertising per UK rules — we build that labelling in where it is needed, and it must stay visible if content is re-edited or reposted. UGC-style content is dramatised marketing: we never present it as a genuine, unprompted customer testimonial.
Presenters and voices in our AI-produced videos are synthetic unless the order says otherwise. We do not imitate real, identifiable people without their documented consent.
Downloadable products (for example, letter-template packs) are delivered instantly. At checkout you consent to immediate delivery and acknowledge that, once the download begins, the consumer 14-day cancellation right no longer applies. If a file is faulty or not as described, the Consumer Rights Act applies: we repair, replace or refund.
One purchase = one business or household may use it. Use the templates freely for your own letters and documents, personal or commercial. You may not resell, republish or share the packs themselves.
Template letters are carefully written general documents, not legal advice for your specific situation. For anything high-stakes, take professional advice.
You grant us the access the service needs (page roles or scheduled-posting access — never your personal passwords). You choose at the start: approve-each-post, or approve-the-plan and let us post. You can change mode anytime.
Posts are prepared to your brief and to platform rules. Clause A8 (refused content) and A10 (platform risk — no promised reach or growth) apply in full. If a platform suspends or restricts an account, we help you appeal but cannot guarantee outcomes.
Where we send email or messages to your contact list on your behalf, you confirm the list has a lawful basis for marketing (your own customers, or proper consent — sole traders count as individuals under UK marketing rules) and that anyone who opted out is excluded. You indemnify us for lists or instructions that turn out not to be compliant. Every send shows the true sender and a working opt-out — we never disguise who a message is from.
Monthly service, cancel with 30 days' notice unless your order has an agreed term. On ending we remove our access and hand you the content calendar and any unused prepared posts.
Covers the free growth review, ongoing growth strategy and consultancy, and management of paid social media advertising.
The growth review is free and creates no obligation on either side. It is our honest opinion, based on what is publicly visible about your business and anything you choose to tell us. It is general guidance, not a guarantee of results, and not legal, tax or financial advice.
Paid consultancy starts only once you have accepted a written proposal setting out the scope, the fee and the notice period. Advice is given with reasonable skill and care; decisions about your business remain yours.
Your advertising budget is paid by you to the platform (for example Meta, TikTok or Google) and is separate from our fee. Ad accounts are set up in your name or shared with us through the platform's own access tools, so they stay yours. Campaigns follow each platform's advertising rules and the UK advertising codes. Clause A10 applies: platforms decide delivery, approval and reach, and we cannot promise specific results, sales or revenue.
As set out in your written proposal. When the work ends we remove our access and hand over the reports and campaign settings.
